AGENCY AGREEMENT

(hereinafter referred to as the Principal)

and
Lagodan (Pvt) Limited, 302, Havelock Road, Colombo 5, Sri Lanka.
(hereinafter referred to as the Agent)

Both Parties agree as follows:

1. The Principal hereby appoints Lagodan (Pvt) Ltd., as its sole authorised Manpower Recruiting Agent in Sri Lanka.
Responsibilities of Principal
2. The Principal shall authorise the Agent, through a Power-of-Attorney or through their Representative(s) to select personnel from Sri Lanka developed by the Agent in terms of the job specification given in the Demand Letter for employment in ....................................................................................................

3. The Principal shall furnish the Agent with a signed and sealed Demand Order Letter (Job Order) which shall state the following:
  1. Categories and numbers of personnel required
  2. The salary and other allowances payable each category
  3. Whether free meals or allowance in lieu thereof shall be provided/paid
  4. Whether free accommodation or accommodation allowance in lieu will be provided/paid
  5. Whether free medical facilities shall be provided
4.  The Principal shall also forward a signed sealed Contract of Employment which shall contain the following:

Duration of Contract
  1. The duration of the contract initially shall be for a period of two years and renewable by mutual agreement.

Air Passage

  1. The Principal shall provide return or one way Air Ticket free for all employees after completion of contract free of charge, depending on whether they would return for employment or whether they have terminated their employment and do not wish to return for employment.

Working Hours

  1. Working hours shall be eight (8) per day for skilled employees totaling to 48 hours per week.
  2. Overtime shall be paid for work during off duty hours and off duty days at the rates stipulated by the Labour Laws of the country.
  3. One day off per week for all employees.
Annual Leave

5. Employee/employees shall be entitled.......................................................days paid leave on completion of 12 month period or ............................................................ days at the end of 24 months.

In Case of Death

6. In case of death of employee/employees during the contract period the Principal shall agree to repatriate the remains of the deceased along with the personal effects and savings at the expense of the Principal to the next of kin in Sri Lanka.

Compensation

7. The Principal shall provide insurance cover for the employee/employees for work connected illness, injuries or death in accordance with pertinent laws of host country.
8. All complaints made by the employee/employees and their relations regarding employee/employees on their working condition shall be settled amicably as soon as possible.
9 All the terms and conditions in this Agreement except the salary shall be applicable to all Demand Order    Letters given by the Principal to the Agent.
10. Any important aspect relating to the Contract of Employment referred to in Clause (4) and not set out in this Agreement shall be applicable in accordance with the laws prevailing and in the country of employment

11.
  1. The agent shall select suitable candidates in terms of the job specification provided by the Principal and submit the relevant documents of the Principal if so requested.
  2. The Agent shall undertake to ensure that all candidates for employment shall be guaranteed for a period of 90 days from the date of their taking up duties with the Principal.  This 90 days period is considered as the probation period.
  3. The Agent will replace without a Service Fee any employee if he is found unsuitable to carry out his duties or refuses to perform his duties for any reason whatsoever during the 90 days probation period.

Terms of Payment
12. In consideration of the services rendered by the Agent, the  Principal shall pay the sum of US$............... for every selected employee as processing administrative fees payable upon final selection of employees.  Advertising, Fax, Telephone, Courier and Trade test charges if any, will be invoiced separately as per      actuals.
13 This Agreement will be effective from the date it is entered into and either party has the right to terminate it
by notifying the other party to that effect in writing giving 30 days advance notice without assigning any    reason.  All earlier Agreements entered into by and between the two parties shall be considered as      cancelled with the coming into force of this agreement.  
14. Both the Principal and the Agent have read and understood the terms and conditions of this Agreement.
